UK anaerobic digestion (AD) developer and biogas producer Future Biogas is acquiring the 49 percent stake it does not yet own in a portfolio of six gas-to-grid AD facilities from Foresight Environmental Infrastructure Limited (FGEN) for GBP 104 million. Backed by 3i Infrastructure plc, the deal will give the company full ownership of all six plants.
Completing a step taken in August 2024
According to the announcement published on Future Biogas’ own website on 26 October 2026, the company bought its initial 51 percent stake in the same portfolio in August 2024. The transfer of the remaining share brings the portfolio under single ownership.
The announcement states that the GBP 104 million price is in line with 3i Infrastructure’s September 2026 valuation expectations for the plants. The company says EBITDA across the six facilities has grown by around 21 percent since 2024.
Funding and next steps
The acquisition is funded through an equity commitment from 3i Infrastructure together with Future Biogas’ existing cash, ahead of a refinancing of Future Biogas’ capital structure. Most of the equity is expected to be returned before the end of 3i Infrastructure’s financial year in March 2027.
The company plans capacity expansions and operational enhancements at the plants. According to the announcement, full ownership simplifies the structure for growth and for any future exit.
Management comments
Future Biogas Chief Executive Officer Philipp Lukas said the company was very pleased to be acquiring full ownership of the six plants. Bernardo Sottomayor, Managing Partner and Head of European Infrastructure at 3i Investments plc, said the management team had demonstrated its ability to unlock significant value through operational improvements.
